DO NOT USE THIS APP OR SERVICE FOR MENTAL HEALTH EMERGENCIES OR OTHER EMERGENCY MEDICAL CONDITIONS OR NEEDS.  IF YOU EXPERIENCE A MENTAL HEALTH OR OTHER MEDICAL EMERGENCY, IMMEDIATELY CALL 911.

 

If you are considering suicide or thinking about taking an action that may cause harm or danger to you or others, you must immediately call 911.  If you are considering suicide, we urge you to call the National Suicide Prevention Hotline at 1-800-273-TALK (8255).  Portman Group, LLC also provides a directory of resources for mental health emergencies and other emergent circumstances, and we urge all users experiencing immediate or emergency crises to use these resources.  

 

       I.            Definitions.

“Account” means a registered user account created by you to access the Services.

“Authorized Provider” means a licensed and appropriately credentialed healthcare professional (e.g., physician, nurse practitioner, physician assistant, therapist, counselor) who is an independent contractor and has agreed to provide Authorized Services through the Platform. Authorized Providers are not employees or agents of TPG.

“Authorized Services” means professional clinical services provided by an Authorized Provider through the Platform, including telehealth evaluations, consultations, therapy or counseling sessions, care coordination, and, where permitted by law and clinical judgment, prescribing of non-controlled medications, but excluding emergency care and any services that must be delivered in person.

“Platform” means TPG’s websites, mobile applications, portals, and related online interfaces owned or operated by TPG through which the Services are made available, including all underlying technology.

“Services” means the Platform and all related functionality and support services provided by TPG, including facilitating communication between Users and Authorized Providers, scheduling, messaging, records transmission, payment processing via third parties, and customer support. For clarity, Services do not include the Authorized Services provided by Authorized Providers.

“User,” “you,” or “your” means a person who visits, accesses, or uses the Platform or Services, including individuals who receive Authorized Services.

“Personal Information” means information that identifies, relates to, describes, is reasonably capable of being associated with, or could reasonably be linked, directly or indirectly, with a particular consumer or household, as defined by applicable privacy laws.

“Personal Health Information” or “PHI” means individually identifiable health information that is created, received, maintained, or transmitted by a covered entity or business associate in any form or medium, as defined by HIPAA and applicable state law.

“HIPAA” means the Health Insurance Portability and Accountability Act of 1996 and its implementing regulations, as amended.

“OHCA” means the Organized Health Care Arrangement in which TPG participates solely for purposes permitted under HIPAA.

“Partner Pharmacy” means a third-party pharmacy with which TPG or an Authorized Provider coordinates to fulfill prescriptions.

“Telehealth” means the remote delivery of healthcare services by an Authorized Provider using telecommunications technologies, including synchronous audio/video visits, asynchronous evaluations (store-and-forward), remote patient monitoring, and secure messaging, where permitted by law.

“Minor” means an individual under the age of 18 or the age of majority in their state of residence, if higher.

    II.            Terms and Conditions.

 

Please read these Terms and Conditions (“Terms”) carefully before using the www.zipmedsrx.com website or mobile application operated by the Portman Group, LLC (“TPG,” “us,” “we,” “our”, or “App”), (all hereinafter collectively, the “Platform”).  The Platform and TPG online services, including all underlying technology and apps, together, will be referred to as the “Services”).  TPG Services allow registered users (“Users”, “you”, “your”) to connect and communicate directly with Authorized Providers via the Services. Authorized Providers are independent contractors who have chosen to use The Portman Group, LLC to provide Authorized Services.  Authorized Providers are NOT employees nor do they otherwise act on behalf of The Portman Group, LLC in providing Services. The relationship between you and any Authorized Provider is a professional-client relationship to which TPG is not a party.

 

If our Authorized Providers find your care request to use Authorized Services appropriate, they may write you a prescription and send it to a US-licensed pharmacy of your choice, TPG’s Partnered Pharmacy, or a pharmacy affiliate. TPG’s Partnered Pharmacy offers free same-day delivery nationwide; however, this is based on your prescription network. Depending on your location, delivery time may be extended. Authorized Providers cannot prescribe controlled substances. For other The Portman Group, LLC services, our Authorized Providers may require you to complete a lab test to be fully evaluated.

 

The Authorized Providers have chosen to use TPG to provide Authorized Services.  Authorized Providers are NOT employees, nor do they otherwise act on behalf of TPG in providing Services.  The relationship between you and any Authorized Provider is a professional-client relationship to which TPG is not a party.

 

TPG participates in a model Organized Health Care Arrangement (“OHCA”) as described by the Health Insurance Portability and Accountability Act (HIPAA) to operate and share best practices for protecting your health information. The OHCA creates no legal representations, warranties, obligations, or responsibilities between the entities participating in the OHCA beyond following HIPAA best practices.

 

These Terms govern your access to and use of the Service.  Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms.  These Terms apply to all visitors, users, and others who access or use the Service.  By accessing or using the Service you agree that you have read and understand these Terms and our Privacy Policy.  If you disagree with any part of the Terms or our Privacy Policy, then you do not have permission to access or use the Service.  Provided you comply with these Terms, TPG grants you a limited, nonexclusive, revocable, non-assignable, non-transferable, non-sublicensable license to access and use the Service solely for your non-commercial purposes. These Terms begin upon your creation of a Service account and will continue in effect until termination per these Terms.

We reserve the right to modify these Terms at any time.  All changes will be effective immediately upon posting to the Service and, by accessing or using the Service after changes are posted, you agree to those changes.  Material changes will be conspicuously posted on the Platform or otherwise communicated to you.

 

 III.            Telemedicine Informed Consent.

 

By using Telehealth through the Platform, you acknowledge and agree: (1) Telehealth involves electronic communications to enable Authorized Providers to evaluate, diagnose, counsel, and treat you remotely; (2) benefits include increased access and convenience; (3) risks include technology failures, privacy risks despite safeguards, and in some cases insufficient information requiring in-person care; (4) you may obtain in-person services and may withdraw consent at any time; (5) confidentiality will be protected consistent with HIPAA and state law; (6) Telehealth is not appropriate for emergencies; and (7) Telehealth sessions may be documented in your medical record and will not be recorded without your separate consent where legally permissible. Your Account creation, booking a Telehealth appointment, or affirmative acceptance within the Platform constitutes your informed consent to Telehealth to the extent permitted by law.

 

  IV.            Authorized Providers and Services.

 

The Services may be used to connect you with an Authorized Provider who will provide Services to you through the TPG Platform.  We require every Authorized Provider providing Services on the TPG Platform to be a registered, trained, experienced, and certified health care provider.  Authorized Providers must have a relevant academic degree in their field and must be qualified and accredited by their respective professional organizations after successfully completing the necessary education, exams, training, and practice requirements as applicable.

Authorized Providers are independent contractors who have chosen to use TPG to provide Authorized Services.  Authorized Providers are NOT employees nor do they otherwise act on behalf of TPG in providing Services.  The relationship between you and any Authorized Provider is a professional-client relationship to which TPG is not a party.

 

AUTHORIZED PROVIDERS ARE SOLELY RESPONSIBLE FOR THE SERVICES THEY PROVIDE TO YOU, INCLUDING COMPLIANCE WITH STANDARDS OF CARE, RECORD-KEEPING, AND ALL OTHER APPLICABLE PROFESSIONAL OBLIGATIONS, AS WELL AS COMPLIANCE WITH PRIVACY LAW.

 

As with any other health care consultation, no results can be guaranteed or assured in connection with our Services.  Your Authorized Provider may determine that our Services are not appropriate for some or all of your treatment needs or that he/she is not permitted to provide the services you require and may elect not to provide our Services to you.  Authorized Providers also have the discretion to discontinue the provision of our Services to you at any time and for any reason.

 

You are responsible for providing your Authorized Provider with the information that he/she advises is required in order to provide you with our Services. If you decline to provide that information, the Authorized Provider may not be able or willing to provide you with our Services.

As with any other health care services, there are risks associated with the use of our Services.  In addition to any risks communicated to you by your Authorized Provider, there are risks unique to the electronic provision of health services, which include that the TPG may not permit the transmission of information in a way that allows the Authorized Provider to provide our Services directly to you.

 

Authorized Providers are NOT permitted to prescribe controlled substances.

 

     V.            Telehealth Disclaimers and Limitations.

 

Telehealth may not be appropriate for all conditions and is not a substitute for all in-person medical care. Seek in-person or emergency care when directed by an Authorized Provider or when experiencing symptoms requiring urgent evaluation. Conditions commonly requiring in-person evaluation include, without limitation, severe chest pain, shortness of breath, signs of stroke, severe bleeding, major trauma, suicidal or homicidal ideation, or any condition an Authorized Provider determines cannot be adequately assessed via Telehealth. Authorized Providers cannot prescribe controlled substances via the Platform. Diagnostic testing, physical examinations, or procedures may require in-person care. You acknowledge that technology issues may disrupt communications; evaluations rely on accurate, complete information you provide; and an Authorized Provider may refer you to in-person care, alternative providers, or decline to provide Authorized Services if Telehealth is not appropriate.

 

  VI.            Privacy and Security.

 

Protecting and safeguarding any information you provide through the Platform is extremely important to us.  Information about our security and privacy practices can be found on our Privacy Policy.

 

TPG’s Platform and Services are secured through encryption technologies, and your account will be password protected.  All personal information and personal health information will be held in the strictest confidence by TPG to the extent permitted by law and in accordance with our Privacy Policy and information practices.  Other than as outlined in our Privacy Policy, TPG will not use, transfer, sell, or disclose your personally identifiable information or personal health information to persons or entities.  By downloading and using our Platform, you consent to the collection, use, and disclosure of your personal information and personal health information by TPG in accordance with these Terms and in our Privacy Policy.  If you wish to withdraw your consent, TPG will assist you with removing or disabling the Platform from your device upon request.

 

To protect the integrity of our Platform and Services, TPG reserves the right at any time in its sole discretion to block Users from certain IP addresses from accessing our Platform.

 

VII.            Rules of Conduct and Account Eligibility.

 

  1. To access TPG’s Services, you must first establish an individual user account (“Account”), by providing certain information as set out in the Privacy Policy.  You agree that you will not create more than one Account or create an Account for anyone other than yourself.  In exchange for your use of the Services and, if applicable, in order for Authorized Providers to send chat messages to you, you agree to:

 

  • provide true, accurate, current, and complete information about yourself as prompted by our Account sign-up form (understanding that during therapy sessions you may use a nickname);
  • maintain, and promptly update such Account information, each time you log on, as far as possible to keep it true, accurate, current, and complete.  If you provide any information that is untrue, inaccurate, not current, or incomplete, or TPG has reasonable grounds to suspect that such Account information is untrue, inaccurate, not current, or incomplete, TPG reserves the right to transition your treatment to another Provider outside of TPG or take other steps as appropriate;
  • Comply with the Age Verification; Minors; Parental/Guardian Consent section and certify that (i) you are over the age of eighteen (18), or (ii) if you are a Minor, your Guardian has provided required consents and participates as required; and
  • remain responsible for maintaining the confidentiality of your Account password and username (if any), and any other security information related to your Account at all times.  TPG will not be liable for any loss that you incur as a result of someone else accessing and using your Account, either with or without your knowledge.

 

2.      It is a condition of your use of our Platform that you use our Platform only for lawful purposes in accordance with this Agreement, and that you do not:

 

  • Attempt to circumvent and violate the security of our Platform by, including, without limitation:

 

  • accessing content and data that is not intended for you;
  • attempting to breach or breaching the security and/or authentication measures, which are not authorized;

 

  • restricting, disrupting, or disabling service to users, hosts, servers or networks;
  • illicitly reproducing TCP/IP packet headers;
  • disrupting network services and otherwise disrupting TPG’s ability to monitor our Platform;
  • using any robot, spider, or other automatic device, process, or means to access our Platform for any purpose, including monitoring or copying any of the material on our Platform;
  • introducing any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful; attacking our Platform via a denial-of-service attack, distributed denial-of-service attack, flooding, mailbombing, or crashing; or
  • otherwise attempting to interfere with the proper working of our Platform.
  • access or use for any commercial purposes any part of our Platform or any services or materials available through our Platform;
  • directly or indirectly reproduce, compile for an internal database, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform, in any form or medium whatsoever nor delete or alter any copyright, trademark or other proprietary rights or notices from copies of materials from our Services or platform except:

 

  • Your computer and browser may temporarily store or cache copies of materials being accessed and viewed;
  • A reasonable number of copies for personal use only may be printed keeping any proprietary notices thereon, which may only be used for non-commercial and lawful personal use and not for further reproduction, publication, or distribution of any kind on any medium whatsoever;

 

  • One single User copy may be downloaded with any proprietary notices intact, for your own personal, non-commercial use; and
  • In the event that social media are linked to certain content on our Platform, you may take such actions as our Website, App, and such third-party social media platforms permit.
  • Use our Services or make User Submissions that:
  • Are for any purposes other than logging and submitting your data to and communicating with your Authorized Provider;
  • In any manner violates any applicable federal, provincial, local, or international law or regulation including, without limitation, any laws regarding the export of data or software, patent, trademark, trade secret, copyright or other intellectual property, legal rights (including the rights of publicity and privacy of others) or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms and Conditions and our Privacy Policy;
  • In any manner, violates the terms of service of any third-party website that is linked to our Platform, including but not limited to, any third-party social media website;
  • Includes or contains any material that is exploitive, obscene, harmful, threatening, abusive, harassing, hateful, defamatory, sexually explicit or pornographic, violent, inflammatory or discriminatory based on race, sex, religion, nationality, disability, sexual orientation or age or other such legally prohibited ground or be otherwise objectionable, such determination to be made in TPG’s sole discretion;
  • Involves stalking, attempting to exploit or harm any individual (including minors) in any way by exposing them to inappropriate content or otherwise or asking for personal information as prohibited under applicable laws, regulations, or code;
  • Involves, provides, or contributes any false, inaccurate, or misleading information;
  • Includes sending, knowingly receiving, uploading, downloading, using, or reusing any material that does not comply with these Terms and Conditions;
  • Impersonates or attempts to impersonate TPG, an Authorized Provider, another User, or any other person or entity (including, without limitation, by using email addresses or screen names associated with any of the foregoing);
  • Transmits, or procures the sending of, any advertisements or promotions without our prior written consent, sales or encourage any other commercial activities, including, without limitation, any “spam”, “junk mail”, “chain letter”, contests, sweepstakes, and other sales promotions, barter or advertising or any other similar solicitation;
  • Encourages any other conduct that restricts or inhibits anyone’s use or enjoyment of our Platform, or which, as determined by us, may harm TPG or Users of our Platform, or may expose TPG or other Users to liability;
  • Causes annoyance, inconvenience, or needless anxiety or is likely to upset, embarrass, or alarm any other person;
  • Promotes any illegal activity, or advocates, promotes or assists any unlawful act; or
  • Gives the impression that you originate from or are endorsed by us or any other person or entity if this is not the case.

 

VIII.            Age Verification; Minors; Parental/Guardian Consent.

 

The Services are intended for adults 18 and over. By creating an Account, you represent that you are at least 18 years old and that the registration information you provide is accurate. If you are a Minor, you may use the Services only with the consent and active participation of a parent or legal guardian (a “Guardian”). The Guardian must: (a) create or co-manage the Account; (b) review and accept these Terms; (c) provide all required consents, including Telemedicine Informed Consent; and (d) be available to participate in consultations when required by law or clinical judgment. TPG may use reasonable verification methods to confirm age and Guardian authority, which may include collection of limited documentation. If TPG discovers an Account was created by a Minor without a Guardian or with false information, TPG may suspend or terminate the Account and delete or restrict access to features as required by law. Any Services provided based on false representations may be canceled, and you and/or your Guardian may be responsible for related charges.

 

 

  IX.            Purchase and Payment Information.

 

If you wish to purchase any product or service made available through the Services (“Purchase(s”), you may be asked to supply certain information relevant to your Purchase including, without limitation, your credit card number, the expiration date of your credit card, your billing address, and your shipping information. Information about our collection and use of payment-related information is described in our Privacy Policy. If the credit or debit card information that you submit is incorrect or invalid, your payment will not be processed.  We have no responsibility or liability if your credit or debit card is declined by your financial institution.  Refunds will be determined at the sole discretion of TPG.  You represent and warrant that you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase.   The Service may employ the use of third-party services for the purpose of facilitating payment and the completion of Purchases.  By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy.

 

     X.            Insurance; Billing; Financial Responsibility.

 

Unless expressly stated during scheduling or checkout, TPG does not submit claims to, or bill, health insurance on your behalf. You are responsible for verifying coverage and for all fees not covered by insurance. If TPG or a Partner Pharmacy collects insurance information, such information is used to verify eligibility and facilitate billing by the relevant billing entity; verification is not a guarantee of coverage or payment. Authorized Services provided through the Platform may be out-of-network or not covered. You are responsible for all charges, copayments, coinsurance, deductibles, denied amounts, and non-covered services. You authorize TPG or its payment processor to charge your payment method for disclosed fees, late cancellation/no-show fees, processing fees, shipping, taxes, and amounts you authorize for refills or renewals. Upon request, TPG may provide a receipt or “superbill” (if available) for you to submit to your insurer; TPG does not guarantee reimbursement. Medication charges may be billed by a Partner Pharmacy, which may submit claims to your insurer pursuant to the pharmacy’s terms.

 

  XI.            Intellectual Property Rights and Ownership.

 

The TPG Website, App, and the information they contain are the property of TPG or its licensors and are protected from unauthorized copying and dissemination by copyright law, trademark law, patent law, industrial design law, and other intellectual property laws.  Subject to these Terms, TPG grants to you a revocable, non-transferable, non-exclusive license to download, install, and use one copy of our Platform on a mobile device or other supported device that you own or control for your personal, non-commercial use (the “License”).  The Platform is hereby licensed to you and not sold.  Source code as well as any other information pertaining to the logic, design, or structure of the TPG Services and Platform, including the object or executable code form thereof, is specifically excluded from the License granted hereunder.

Title to our Platform, and all documentation and material whatsoever related thereto, shall at all times remain with TPG, and all intellectual property rights of whatever nature with respect thereto shall be and remain the exclusive property of TPG.  Nothing of these Terms gives you a right to use TPG’s names, trademarks, logos, domain names, or other distinctive brand features without prior written consent from TPG.  Any future release, update, or other addition to the functionality of our Website or App shall be subject to the Agreement.  Use of any such property, except as expressly authorized, shall constitute an infringement or violation of the rights of the property owner and may be a violation of federal or other laws and could subject the infringer to legal action.

 

XII.            User Content; License; Feedback.

 

Except for PHI and as otherwise set forth in our Privacy Policy, you retain ownership of content you submit to or through the Platform (“User Content”). PHI is used and disclosed only as permitted by law and our Privacy Policy. You grant TPG a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to host, store, use, reproduce, modify, and display User Content solely as necessary to operate, maintain, secure, support, and improve the Services; to comply with law; and to facilitate Authorized Services. TPG will not use PHI for marketing without your authorization as required by HIPAA. If you provide suggestions, reviews, survey responses, or other feedback (“Feedback”), you grant TPG a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate Feedback without restriction or compensation. You will not submit content that violates law, infringes rights, or contains malware. TPG may remove or restrict content that violates these Terms.

 

XIII.            Third-Party Content.

 

The Platform may contain other content, products, or services that are offered or provided by third parties (“Third-Party Content”), links to Third-Party Content (including but not limited to links to other websites), or advertisements that are related to Third-Party Content.  We have no responsibility for the creation of any such Third-Party Content, including (but not limited to) any related products, practices, terms, or policies, and we will not be liable for any damage or loss caused by any Third-Party Content.

 

While using our platform, you may choose to authorize TPG and its third-party contractors or affiliates to retrieve and disclose your health records and protected health information.  These records may not be a complete 100% comprehensive record, and these records may not be useful for diagnostic purposes.  These health records will be shared with Authorized Providers to ensure great healthcare services.  TPG does not alter or modify medical records received from its third parties. Please note that if you are authorized to retrieve your medical records through our third party, you may receive a more comprehensive set of medical records if the following information is provided accurately: full address, first name, last name, gender, and date of birth.  If at any time you wish to revoke this authorization, you may do so by deleting your profile on the TPG app.

 

XIV.            Medical Records Access; Portability.

 

Subject to HIPAA and applicable state law, you have the right to access and obtain copies of your medical and billing records maintained by Authorized Providers and, where applicable, by TPG as a business associate. To request records, contact [RECORDS REQUEST EMAIL] or use your Account if available. We may require identity verification and a written authorization where required by law. Records will be provided in the form and format requested if readily producible; otherwise, in a readable alternative format, which may include electronic copies. We will respond within the timeframes required by law, and reasonable, cost-based fees may apply as permitted by law. You may request an amendment to your records; if denied, you will receive a written explanation. You may request an accounting of certain disclosures as permitted by law. Upon your written direction, we will transmit records to another provider or designee in accordance with HIPAA and state law.

 

XV.            Warranty

 

OUR WEBSITE AND APP ARE PROVIDED “AS IS”.  WHILE TPG ENDEAVORS TO PROVIDE ACCURATE, CURRENT AND TIMELY INFORMATION, TPG MAKES NO REPRESENTATION, WARRANTIES OR COVENANTS OF ANY KIND, EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, REGARDING OUR WEBSITE OR APP INCLUDING, WITHOUT LIMITATION, NO REPRESENTATION, WARRANTY OR COVENANT THAT: (I) OUR WEBSITE OR APP AND THEIR CONTENTS WILL BE ACCURATE, COMPLETE, CURRENT, RELIABLE, TIMELY, OF MERCHANTABLE QUALITY OR SUITABLE FOR A PARTICULAR PURPOSE; (II) THE OPERATION OF OUR WEBSITE OR APP WILL BE UNINTERRUPTED OR ERROR FREE; (III) OUR WEBSITE OR APP SHALL PROCESS DATE AND TIME-RELATED DATA WITHOUT CAUSING ANY PROCESSING INTERRUPTIONS, ABNORMAL TERMINATION OR WITHOUT PROCESSING OR MANIPULATING ANY TIME-RELATED DATA; (IV) OUR APP WILL NOT DISAPPEAR OR BE ERASED FROM YOUR DEVICE; (V) OUR WEBSITE OR APP WILL BE FREE FROM MATERIAL DEFECTS OR THAT DEFECTS OR ERRORS, WHETHER HUMAN OR COMPUTER ERRORS, IN OUR WEBSITE OR APP WILL BE CORRECTED; (VI) OUR WEBSITE OR APP WILL BE FREE FROM VIRUSES OR HARMFUL COMPONENTS THAT MAY DAMAGE OR INFECT YOUR DEVICE OR OTHER PROPERTY; OR THAT (VII) COMMUNICATIONS TO OR FROM OUR WEBSITE OR APP WILL BE SECURE AND/OR NOT INTERRUPTED.

 

YOU AGREE THAT YOU ARE RESPONSIBLE FOR MAINTAINING THE CONFIDENTIALITY OF YOUR PASSWORD AND ANY OTHER SECURITY INFORMATION RELATED TO YOUR USE OF THE PLATFORM.  YOU AGREE TO NOTIFY TPG IMMEDIATELY OF ANY UNAUTHORIZED USE OF YOUR USERNAME OR PASSWORD.

 

XVI.            Limitation of Liability

 

IN NO EVENT SHALL TPG OR ITS AFFILIATES, SUBSIDIARIES, AGENTS, INDEPENDENT CONTRACTORS, SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES, OR THEIR RESPECTIVE SUCCESSORS AND ASSIGNS BE LIABLE FOR DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO ANY DIRECT, INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, ANY LOSS OR DAMAGES IN THE NATURE OF OR RELATING TO MEDICAL OR PERSONAL INJURY; WRONGFUL DEATH; INACCURATE INFORMATION; LOST BUSINESS; OR ANY OTHER LOSS INCURRED IN CONNECTION WITH YOUR OR YOUR AUTHORIZED PROVIDER’S USE, MISUSE OR RELIANCE UPON OUR WEBSITE OR APP; YOUR OR YOUR AUTHORIZED PROVIDER’S INABILITY TO USE OUR WEBSITE OR APP; THE ACTS, OMISSIONS, CONDUCT, CONTENT PROVIDED BY OR STATEMENTS AND OPINIONS EXPRESSED BY ANY THIRD-PARTY; OR THE HEALTH CARE YOU RECEIVE, REGARDLESS OF THE CAUSE AND WHETHER ARISING IN CONTRACT (INCLUDING FUNDAMENTAL BREACH), TORT (INCLUDING NEGLIGENCE), OR OTHERWISE. THE FOREGOING LIMITATION SHALL APPLY EVEN IF TPG OR ITS AFFILIATES, SUBSIDIARIES, AGENTS, INDEPENDENT CONTRACTORS, SHAREHOLDERS, DIRECTORS, OFFICERS, OR EMPLOYEES KNEW OF OR OUGHT TO HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES.

 

TO THE FULLEST EXTENT PROVIDED BY LAW, TPG WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY DENIAL-OF-SERVICE ATTACK, DISTRIBUTED DENIAL-OF-SERVICE ATTACK, OVERLOADING, FLOODING, MAILBOMBING OR CRASHING, VIRUSES, TROJAN HORSES, WORMS, LOGIC BOMBS, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF OUR WEBSITE OR APP OR TO YOUR DOWNLOADING OF ANY MATERIAL POSTED THEREON OR ON ANY WEBSITE LINKED TO OUR WEBSITE OR APP.

 

YOU UNDERSTAND, AGREE, AND ACKNOWLEDGE THAT OUR AGGREGATE LIABILITY FOR DAMAGES ARISING WITH RESPECT TO THIS AGREEMENT AND ANY AND ALL USE OF THE PLATFORM WILL NOT EXCEED THE TOTAL AMOUNT OF MONEY PAID BY YOU OR ON YOUR BEHALF THROUGH THE PLATFORM IN THE 12 MONTHS PERIOD PRIOR TO THE DATE OF THE CLAIM.

 

If the applicable law does not allow the limitation of liability as set forth above, the limitation will be deemed modified solely to the extent necessary to comply with applicable law.

This section (Limitation of Liability) shall survive the termination or expiration of this Agreement.

 

XVII.            INDEMNIFICATION

 

YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS TPG AND ITS AFFILIATES, SUBSIDIARIES, AGENTS, INDEPENDENT CONTRACTORS, SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES, AND THEIR RESPECTIVE SUCCESSORS AND ASSIGNS FROM AND AGAINST ANY AND ALL CLAIMS, ACTIONS, DEMANDS, LIABILITIES, COSTS, OR EXPENSES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, LEGAL FEES AND DISBURSEMENTS, RESULTING DIRECTLY OR INDIRECTLY FROM: (I) YOUR BREACH OF ANY OF THESE TERMS AND CONDITIONS; (II) YOUR OR YOUR AUTHORIZED PROVIDER’S DOWNLOAD, USE, OR MISUSE OF, OR RELIANCE UPON, OR INABILITY TO ACCESS OR USE OUR WEBSITE OR APP; (III) YOUR USE OR ACCESS OF ANY LINKED WEBSITES, SUCH AS THIRD-PARTY WEBSITES; (IV) ANY USER SUBMISSIONS, CONTENT, MATERIALS, POSTING OR INFORMATION ON OUR WEBSITE OR APP; (V) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR ACCOUNT, LOGIN CREDENTIALS, TRANSMISSIONS OR DATA, INCLUDING YOUR AUTHORIZED PROVIDER’S FAILURE TO KEEP PASSWORDS, ACCOUNT DETAILS AND ANY PERSONAL INFORMATION OR PERSONAL HEALTH INFORMATION SECURE AND CONFIDENTIAL; (VI) STATEMENTS OR CONDUCT OF ANY THIRD-PARTY; (VII) CHANGES TO OUR WEBSITE OR APP; (VIII) OUTCOMES IN YOUR TREATMENT OR ENGAGEMENT WITH YOUR AUTHORIZED PROVIDER; (IX) INACCURACY OF THE INFORMATION YOU OR YOUR AUTHORIZED PROVIDER ENTERS OR ALLOWS SOMEONE ELSE TO ENTER INTO OUR APP; OR (X) MISUSE OF INFORMATION TRANSMITTED TO OR BY YOUR AUTHORIZED PROVIDER OR OTHERWISE.

This section (Indemnification) shall survive the termination or expiration of this Agreement.

 

XVIII.            Modifications to our Website and App.

 

TPG reserves the right at any time, and from time to time, to modify or discontinue, temporarily or permanently, our Platform or any part thereof, with or without notice to you.  TPG shall not be liable to you or to any third party for any modifications, suspension, or discontinuance of our Platform or any part thereof.  If TPG becomes involved in a merger, acquisition, or sale of some or all of its assets, TPG reserves the right to re-brand or relocate its services.

 

XIX.            State-Specific Terms; Provider Licensure.

 

Services vary by state. Authorized Providers will deliver Authorized Services only in states where they are licensed and where the Service type is permitted. Certain services, prescriptions, and modalities may be unavailable or limited in your state. By scheduling a visit, you represent that at the time of the visit you are physically located in the state you indicate in your Account or at scheduling. You consent to the practice of medicine or other licensed profession by the Authorized Provider under the laws of that state. TPG may present state-specific disclosures or consents within the Platform. Those state-specific terms are incorporated into these Terms and, in the event of conflict, control for Users located in that state. TPG may decline or cancel Services where required to comply with state law.

The Department of Safety and Professional Services (DSPS) and the Marriage and Family Therapy, Professional Counseling, and Social Work Examining Board receive and respond to complaints regarding services provided within the scope of practice of marriage and family therapists, professional counselors, and clinical social workers.

XXI.            Subscriptions and Promotions.

 

TPG reserves the right, in its sole and absolute discretion, to determine your eligibility for any promotional offer pursuant to the applicable Promotional Terms.  TPG reserves the right to change, amend, and alter then-current promotional offers or Promotional Terms as well as institute new promotional offers in its sole and absolute discretion.  TPG does not guarantee that any promotional offers are or will be available to you at all, or in connection with any services desired by you.

 

The prices and availability of products and services made available on the Service may change at any time without notice to you.  Prices remain valid while they are listed and offered on the Service.  Prices will be as posted on the Service as of the date and time of your order, as applicable. Availability of products and services may be limited, and products may not be available for immediate delivery. Some products and services may not be available in certain areas.

 

XXII.            Automatic Renewal; Renewal Notices; Price Changes.

 

Unless you cancel as provided, your paid membership or subscription will automatically renew at the end of each billing period (monthly or annually, as selected) for the same term, and your payment method on file will be charged the then-current price plus applicable taxes. You may cancel at any time through your Account or by contacting [email protected]. To avoid being charged for the next period, you must cancel at least 24 hours before the renewal date. Cancellations take effect at the end of the then-current billing period. For annual plans and where required by law, TPG will send a renewal reminder to your registered email at least 15 days before renewal with instructions on how to cancel. We may change subscription prices prospectively and will provide advance notice; if you do not agree to a price change, cancel before it takes effect. If your subscription includes a free trial or promotional period, charges begin at the end of that period unless you cancel beforehand.

XXX.            Assignment.

 

TPG may assign, transfer, or delegate these Terms, in whole or in part, including in connection with a merger, acquisition, corporate reorganization, or sale of assets, without notice to you. You may not assign or transfer any rights or obligations under these Terms without TPG’s prior written consent, and any attempted assignment without such consent is void. These Terms bind and inure to the benefit of the parties and their permitted successors and assigns.

 

XXXI.            Force Majeure.

 

Neither party will be liable for any delay or failure to perform its obligations (excluding payment obligations, if any) due to events beyond its reasonable control, including acts of God, natural disasters, epidemic/pandemic, public health emergency, acts of government, war, terrorism, civil unrest, labor disputes, failures of suppliers or utilities, telecommunications or internet failures, or denial-of-service attacks. The affected party will use commercially reasonable efforts to mitigate the effects and resume performance as soon as practicable and will notify the other party of a Force Majeure event if it continues for more than 10 days. If a Force Majeure event continues for more than 30 days, either party may terminate the affected Services upon notice.

  • By TPG for Cause: We may suspend or terminate your access to the Services immediately upon notice if you breach these Terms, misuse the Services, engage in fraud or illegal conduct, or create risk or possible legal exposure for TPG or others.
  • By TPG for Convenience: We may terminate or suspend the Services or your Account with reasonable notice where practicable.
  • Effect of Termination: Upon termination, your right to access the Services will cease. Sections intended to survive (including, without limitation, Intellectual Property, Warranty, Limitation of Liability, Indemnification, Dispute Resolution and Arbitration, Governing Law, Severability, Data Retention and Deletion, and Security Incident and Breach Notification) will survive. We will handle your data in accordance with “Data Retention and Deletion.

XXXIV.            Governing Law; Venue.

 

These Terms are governed by the laws of the State of Wisconsin, without regard to its conflicts of law principles. Subject to the agreement to arbitrate below, the exclusive venue for any action not subject to arbitration will be the state or federal courts located in Milwaukee, Wisconsin, and the parties consent to personal jurisdiction there.

 

XXXV.            Dispute Resolution and Arbitration; Class Action Waiver.

 

Informal Resolution: Before filing a claim, you and TPG agree to try to resolve the dispute informally by emailing a detailed description of the dispute to [email protected]. If not resolved within 30 days, either party may start arbitration.

 

  • Agreement to Arbitrate: Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved informally will be resolved by binding arbitration administered by AAA under its consumer arbitration rules. The arbitrator will have exclusive authority to resolve disputes relating to arbitrability and the interpretation, applicability, or enforceability of this arbitration agreement.
  • Location and Procedure: Arbitration will take place in Milwaukee, Wisconsin, or by video/teleconference or on written submissions at the election of the party seeking relief, consistent with the applicable rules.
  • Fees: [TPG WILL PAY FILING/ARBITRATOR FEES TO THE EXTENT REQUIRED BY APPLICABLE RULES; OTHERWISE, FEES ALLOCATED BY RULE]. Each party bears its own attorneys’ fees unless the arbitrator awards them under applicable law.
  • Class and Representative Actions Waiver: YOU AND TPG AGREE THAT EACH MAY BRING CLAIMS ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS OR OTHERWISE PRESIDE OVER ANY CLASS OR REPRESENTATIVE PROCEEDING.
  • Small Claims Exception: Either party may bring an individual action in small claims court in a jurisdiction that reasonably corresponds to your residence or the TPG address listed in “Contact Us.
  • Opt-Out: You may opt out of this arbitration agreement within 30 days of creating your Account by sending a written notice with your name, Account email, and a clear statement that you opt out of arbitration to [ARBITRATION OPTOUT EMAIL] or by mail to the address in “Contact Us.” Opting out will not affect your other rights or responsibilities under these Terms.
  • Severability of Arbitration Terms: If any portion of this arbitration agreement is found unenforceable, the unenforceable portion will be severed, and the remainder will be enforced to the maximum extent permitted, except that if the class action waiver is found unenforceable, the entirety of this arbitration agreement will be null and void.

 

XXXVI.            Severability.

 

If any provision of these Terms is held invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision will be enforced to the maximum extent permissible and deemed modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions will remain in full force and effect. The parties authorize any court to “blue pencil” or reform provisions as needed to effectuate the parties’ intent.

XXXVIII.            Entire Agreement; Order of Precedence.

 

These Terms, together with any incorporated policies (including the Privacy Policy, Refund & Cancellation Policy, and Mobile Terms of Service), constitute the entire agreement between you and TPG regarding the Services and supersede any prior or contemporaneous agreements or understandings on the same subject. In the event of a conflict between these Terms and any policy referenced herein, these Terms control unless a policy expressly states otherwise.

 

XXXIX.            No Waiver.

 

No failure or delay by TPG in exercising any right or remedy under these Terms will operate as a waiver of such right or remedy. A waiver is effective only if in writing and signed by an authorized representative of TPG.

 

XL.            Headings.

 

Headings are for convenience only and do not affect the interpretation of these Terms.

 

XLI.            Export Compliance.

 

You may not use, export, re-export, import, or transfer the Services except as authorized by United States law and the laws of the jurisdiction(s) in which you use the Services. You represent that you are not located in any country subject to a U.S. Government embargo or on any U.S. Government list of prohibited or restricted parties.

 

XLII.            Open Source and Third-Party Components.

 

The Services may include components licensed from third parties, including open-source software. Use of such components is subject to their applicable licenses. To the extent required, we will make available a list of open-source components and their licenses upon request.

XLIV.            Virtual Health Refunds

 

Virtual Health consultation treatments, recommendations, prescriptions, and outcomes are at the sole discretion of the medical professional treating you. No refunds will be given because you do not agree with the decisions of the provider, nor are refunds given if you are pursuing services that are not a defined TPG consult type. You are paying for the provider’s time to assess your medical needs and make the best determination for your health in their professional judgment.

 

If you would like to cancel your Emergency Kit order before submitting all necessary information for provider review (including the intake form), you will be entitled to a refund of the full purchase price minus a $35 service fee. Once you complete the intake form, your order is forwarded on to a licensed provider for review, at this time, if you refuse to speak with the provider or wish to cancel your order for any reason, refunds will be at the full discretion of the Company and will be issued on a case by case basis less a $129 processing fee. Once an order has been sent to the pharmacy, there will be no cancellations or refunds of the order.

 

Any issues with Medical Kits such as missing or damaged contents need to be brought to the attention of TPG within thirty (30) calendar days from the day of receipt in order to be investigated.  Our partnered pharmacy performs three sets of verifications and inspects everything thoroughly. However, bringing an issue to our attention will prompt an investigation by our team and allow us to respond appropriately.  Each issue will be addressed on a case-by-case basis and will include an investigation at our partnered pharmacy and with the delivery carrier (ie UPS, FEDEX, USPS). Any requests received after thirty (30) calendar days of receipt will not be processed. Bringing an issue to our attention does not guarantee your desired outcome. Please keep in mind that where allergies are indicated, certain medications may be withheld from your kit.

 

Prescriptions are administered at the sole discretion of your provider. In the event of allergy or other medical condition that is a contraindication for a medication, it shall be omitted from the kit without substitution and the price of the medical kit will not be discounted, if medication is omitted.

 

Once you complete your required medical intake form here: www.zipmedsrx.com, one of our TPG providers may call you within 2-3 business days to verify your information and send your approved prescription to our partnered pharmacy to be fulfilled and delivered to your address.

 

This kit is not intended for an acute illness, but for use at the direction of a healthcare provider after appropriate assessment and diagnosis or in the event of an emergency, thus there should be no expectation for the kit to have expedited shipping, etc.

 

Customer must reach out to Customer Support at [email protected] within 30 days of kit prescription date to notify of any issues with delivered kit. After 30 days, no changes may be made, and no refunds will be issued.

 

XLV.            Memberships & Subscription Cancellations

 

Annual memberships are a year-long commitment and will not be partially refunded if canceled. Cancellations will be effective upon the next scheduled annual renewal date. Monthly memberships and subscriptions may be canceled at any time, with the cancellation effective at the next scheduled monthly renewal date. TPG does not issue partial refunds for the cancellation of a monthly membership and/or monthly subscription. All memberships and subscriptions can be managed through the “Account” section of TPG’s website.

XLVI.            PRODUCT REFUNDS AND RETURNS POLICY

 

1.      Scope.

 

This Policy applies to telehealth consultations, prescription evaluations, medication orders, medical kits, memberships, and subscriptions purchased through the Portman Group, LLC (“TPG”) website, apps, and affiliated channels. It supplements the Terms and Conditions and is incorporated by reference.

 

2.      Key Principles.

 

  • Provider discretion: Clinical decisions (including diagnosis, treatment, and prescribing) are solely at the discretion of the licensed Provider. Payment is for the Provider’s time and clinical evaluation, not a guaranteed prescription or outcome.

 

  • No returns: Due to safety and regulatory requirements, TPG and our partner pharmacies cannot accept returns of prescription medications or medical kits, even if unopened.

 

  • Timelines control eligibility: Refund eligibility depends on when you cancel relative to appointment times, intake completion, prescription submission to pharmacy, and shipping status.
  • Credits preferred: In discretionary cases where TPG offers a remedy, TPG may issue a non-transferable account credit (rather than a cash refund), redeemable only on the Platform before its stated expiration.

 

3.      Order Cancellation Windows

 

  • Before Intake Submission: If you cancel before the intake submission form is completed, TPG will refund the medication cost and shipping (if collected by TPG), less a processing fee of [$35]. TPG may, in its discretion, issue a platform credit instead of a refund.
  • After Intake Submission/ Provider review: If you cancel after the intake submission form is completed and provider review but before submission to Pharmacy or shipping, TPG will refund the medication cost and shipping (if collected by TPG), less a processing fee of [$129].
  • After Pharmacy Submission, Before Fulfillment: No cancellations or refunds.
  • After Fulfillment/Shipment: No refunds once fulfillment begins or an order ships. Due to safety regulations, prescription medications and medical kits cannot be returned or restocked.

 

4.       Delivery Issues (Maximum Reporting Windows; Evidence Requirements)

 

  • Prescription Medications: Report lost, missing, or damaged deliveries within 7 calendar days of the carrier’s delivery scan (or expected delivery date if no scan) to [email protected].
  • Medical/Emergency Kits and Non-Prescription Products: Report missing or damaged contents within 30 calendar days of delivery.

  • Damage: Clear photos of exterior packaging, shipping label, internal packing, and the damaged item(s), plus order number and lot numbers (if applicable).
  • Non-Receipt Where Carrier Shows Delivered: A signed and sworn statement of non-receipt, confirmation of delivery address, a description of secure delivery location, and any available police report or carrier theft claim number. TPG may require an affidavit and cooperation with carrier investigations.
  • Resolution: TPG will investigate with the pharmacy and carrier. In its discretion, TPG may replace items or issue a platform credit. Cash refunds are generally not provided for carrier issues unless required by law. Claims submitted outside the windows above are not eligible.

 

5.       Allergies, Contraindications, and Substitutions

 

Providers may withhold or modify medications due to allergies, contraindications, or clinical judgment. Omitted or substituted items do not entitle you to a refund of evaluation fees or partial kit prices unless TPG expressly states otherwise.

 

6.      Emergency/Medical Kits and Non-Prescription Products

 

  • Cancellations

 

  • Before Intake Submission: Full refund less a $35 service fee (or a full-value platform credit, at TPG’s discretion).
  • After Intake Submission/Provider Review: Refunds are at TPG’s discretion on a case-by-case basis, less a $129 processing fee.
  • After Pharmacy Submission or Shipment: No cancellations or refunds.

 

7.      Missing or Damaged Contents

 

  • Report within 30 calendar days of delivery to [email protected] with the evidence described in Section 2.3. TPG may replace items or issue a platform credit at its discretion. Requests made after 30 days are not eligible.
  • Memberships and Subscriptions 4.1 Monthly Plans
  • You may cancel anytime via your Account. Cancellations take effect at the next monthly renewal date. No partial month refunds. Where TPG elects to accommodate edge cases (e.g., double-billing errors), TPG may issue a platform credit.

 

8.      Annual Plans

 

  • Annual memberships are a 12-month commitment and are non-refundable once the term begins. Cancellation takes effect at the next annual renewal date. TPG may, at its discretion, issue a pro-rata platform credit for extraordinary circumstances.

 

9.      Promotional Offers

 

  • Discounts and promotions are applied only to eligible transactions and will not be prorated or “cashed out.” If a refund or credit is issued, promotional values may be deducted. Credits have an expiration date of [X] months from issuance unless otherwise stated.

 

10.  Payment Disputes and Chargebacks

 

  • Contact TPG first at [email protected] to resolve billing issues. Unauthorized chargebacks may result in account suspension and collection of associated fees if the chargeback is reversed. TPG may convert approved resolutions to platform credits.

 

11.  Regulatory and Clinical Exceptions

 

  • Public Health or Safety: TPG may cancel or modify orders in the interest of safety or regulatory compliance, with platform credits or refunds at TPG’s discretion.
  • State-Specific Restrictions: If an order cannot be fulfilled due to jurisdictional laws or prescriber requirements, TPG will refund amounts collected for the unfulfilled item(s), less any non-recoverable processing/shipping costs already incurred, or issue a platform credit.

 

12.  How to Request a Refund, Credit, or Issue Report

  • In-App: Use the embedded chat to reference your order number and describe the issue.
  • Timing: Submit requests within the timeframes in Sections 2.3 and 3.2. Provide all required evidence (photos, sworn statement, documentation). Failure to provide required evidence may result in denial.

 

13.  Refunds, Credits, and Timing

 

  • Approved refunds (when provided) will be issued to the original payment method. Processing times vary by bank but typically take 5–10 business days after approval.
  • Platform credits are issued to your Account, are non-transferable, have no cash value, and expire as stated at issuance (default: [3] months).
  • Service or processing fees, if applicable, are deducted from refunds.

 

14.  No Medical Outcome Guarantees

 

Clinical outcomes, treatment efficacy, and individual responses vary. Disagreement with a Provider’s clinical decision (including the decision not to prescribe) does not qualify for a refund.

 

15.  Fraud, Abuse, and Policy Violations

 

TPG reserves the right to refuse, limit, suspend, or cancel orders or accounts suspected of fraud, abuse, diversion, or policy violations. Such cases are not eligible for refunds or credits except as required by law.

 

16.  Changes to this Policy

 

TPG may update this Policy from time to time. Material changes will be posted on the Platform. Your continued use after the Effective Date of changes constitutes acceptance.
